The Name Of The Association Shall Be “Merchant Of Light Special Science School Oba, 2002 Graduating Set (Herein Referred To As The Achievers)
The Address Of The Association Is Merchants Of Light Secondary School, Oba-Nnewi Old Road By Afor-Oba Market Junction Oba, Anambra State, Nigeria, Earth.
The Aims And Objectives Of The Association Is Geared Towards Promoting The Welfare And Progress Of Bonafide Members, To Defend The Godly Interest Of Brotherhood And To Commit Our Skills And Resources To Humanitarian Works For National And Global Transformation.
(A) The Executives Of Merchant Of Light Special Science School Oba, 2002 Graduating Set For The Purpose Of The Association And For Allied Matters Act No. 1 Of 1990, Shall Be Elected At A General Meeting With 2/3 Majority Votes Of Members Present.
(B) Such Executives Shall Not Be Less Than Three (3) And More Than Seven (7) In Number.
(C) New Executives Shall Be Elected At The End Of Every 2 Years. However, An Executive Shall Cease To Hold Office If He/She:
A. Resigns From Office.
B. Cease To Be A Member Of The Registered Executives Of The Body. C. Becomes Insane.
D. Is Officially Declared Incapacitated.
E. Is Convicted Of A Criminal Offence Involving Dishonesty By A Court Of A Competent Jurisdiction.
F. Is Recommended For A Removal From Office By Majority Vote Of Members Present At Any General Meetings Of The Body.
(D) Upon A Vacancy Occurring In The Number Of Executives, A General Meeting Will Be Held To Elect Another Eligible Executive Of The Association.
There Shall Be A Legal Adviser For The Association Who Shall:
1. Hold Office For A Term Of 5 Years.
2. Advise Executives And Members Of The Association On The Legal Implications And/Or Consequences Of Decisions Or Actions Taken Or Proposed To Be Taken.
3. Provide Such Advice And Render Such Services As May Be Necessary On Legal Matters Pertaining To The Affairs Of The Association.
(A) The Organization Shall Have A Common Seal
(B) Such Common Seal Will Be Kept In The Custody Of The Secretary Who Shall Produce It When Required For Use By The Organization.
(C) All Documents Shall Be Signed By The Appropriate Members Of The Executive And Sealed With The Common Seal.
6.1. For Effective Administration Of The Association, There Shall Be The Following Meetings:
(I) Annual General Meetings: This Shall Be A Meeting Of The Members Of The Association And The Executives Held Once In A Year
(Ii) Executive Meetings: This Shall Be Held Whenever The President Calls For One, Or Whenever There's An Emergency.
(Iii) The Association's Online Or Offline Venues Shall Be The Venue For All The Meetings.
(Iv) The Treasurer And Financial Secretary Shall Give A Financial Update To The Association Every Quarter.
The Governing Body Of Merchant Of Light Special Science School Oba, 2002 Graduating Set Shall Be:
The Executive With Direct Management Responsibilities Of The Day-To-Day Activities Of The Association And Implementations Of The Policies And Objectives Of The Association.
The Sources Of Income For The Association Shall Include:
1. Special Contributions By Members
2. Grants And Donations
3. Proceeds From Publications
4. Fund Raising Activities
5. Payment Of Dues And Levies By Members.
6. And Any Other Legal And Members-Approved Source.
1. The Funds May Be Applied For Such Purposes And In Such Manner As The Executive Shall In Its Directions Determine And Ratify By Majority Of The Members Of The Association As Long As They Are Consistent With The Constitution Of The Association.
1. A Bank Account Shall Be Opened For The Association To Be Operated By The Designated Officials As Per The Constitution
2. All Monies Received On Behalf Of The Association Shall In The First Instance Be Paid Into The Association's Bank Account.
3. No Executive Officer Or Member Of The Association Shall—Except For The Professional Services Rendered At The Request Of The Association—On Any Pretext Or In Any Manner Receive Any Profit Or Emoluments From The Funds Of The Association.
4. Full Accounts Of The Financial Affairs Of The Association Duly Audited Shall Be Delivered To Every Member At The End Of Each Tenure.
1. Independent, Qualified, And Licensed Auditors Shall Be Appointed At The General Meeting To Audit The Financial Records Of The Association At The End Of Each Tenure And Submit The Audited Report To The General Members Of The Association.
2. The Audited Financial Statement (Balance Sheet, Income, And Expenditure Account) Duly Certified By Independent Auditors Shall Be Filed With Corporate Affairs Commission.
The Association Shall Amend The Provision Of Its Constitution At A General Meeting If A Simple Majority Of Its Bonafide Members At The Meeting Votes In Favor Of An Amendment.
1. The Income And Property Of Merchant Of Light Special Science School Oba, 2002 Graduating Set Shall Be Applied Solely Towards The Promotion Of The Objectives Of The Body As Set Forth In The Constitution, And No Portion Thereof Shall Be Paid Or Transferred Directly Or Indirectly To Officials Or Members Of The Association.
2. No Remuneration Shall Be Given By The Association To Any Member Or Official Of The Association Except The Payment Of Out-Of-Pocket Expenses Or Reasonable Fees For Service(S) Rendered.
3. If In The Event Of A Winding Up Or Dissolution Of The Association, Any Money Or Property Remaining—After The Satisfaction Of Its Debts And Liabilities—Shall Not Be Paid To Or Distributed Among The Members Of The Association, But Shall Be Given Or Transferred To Some Charitable Organization(S) As Determined By Majority Of The Bonafide Members Of The Association.
4. The Guideline Of The Association Is A Part Of This Constitution And Its Efficacy Has A Binding Power On All Officials/Members And By The Provisions Of This Constitution Shall Be Referred To As Official Document Of The Association.
5. The Achievers' Constitution Shall Remain Supreme Over All Documents, Members, And Officials.
DUTIES OF THE EXECUTIVE
As Official Document Of The Association.
A. Oversees The General Welfare Of The Association.
B. Presides And Directs All The Affairs, Operations, And Proceedings Of The Meetings According To The Provisions Of This Constitution.
C. Must Be A Signatory To The Achievers' Bank Account.
D. Directs And Instructs Other Officers Of The Executive.
E. Signs Every Publication Or Press Statement Before Being Declared To The General Body Which Includes Online Forum. Such Official Documents Include List Of Debtors And Defaulting Member(S).
F. Shall Be An Active Member And Has The Casting Vote Whenever There Is A Tie In Any Decision.
G. Shall Be The President Of The Achievers And Chairman Of The Executive.
H. Summon Emergency Meetings When The Need Arises And Must Inform Other Executive Members. This Includes Online Emergency Meetings.
A. Shall Assist The President In Day-To-Day Running Of The Association.
B. Shall Perform The Functions Of The President During Meetings And Any Other Gathering In The Absence Of The President.
C. Shall Assume The Position And The Responsibilities Of The President In The Case Of A Vacuum Or Absence Of The President Till The End Of The Tenure.
D. Can Head Different Adhoc Committees And Report To The President.
A. Maintains Accurate Records Of Proceedings In General And Online Meetings.
B. Responsible For All Achievers' Correspondences.
C. Prepares Annual Report Of Activities.
D. Must Be Able To Have Constant Access To The Internet And Be Punctual At All Association Meetings.
E. Draws Up Meeting Agenda In Consultation With The President.
F. Responsible For Issuing Circulars For Meetings Or Information.
G. Can Summon Emergency Meeting In Emergency Situations In Consultation With The President Or The Vice President Where The President Is Not Available.
H. Shall Be A Signatory To The Achievers' Bank Account.
I. He Writes And Reads Minutes And Is Accountable For The Statistical And Analytical Information Of The Individual Members Of The Group.
A. Responsible For Documenting All Financial Transactions Of The Achievers.
B. Shall Maintain A Proper Financial Record (Book).
C. Shall Be Responsible For Preparing Financial Reports/Statements Of Income And Expenditure And Transmit Same To The General Body (Both Online), Every 6 (Six) Months.
D. Must Be A Signatory To The Achievers' Bank Account.
E. He Will Ensure Transparent And Efficient Handling Of Our Finances, Record Everything In A Neat Excel Worksheet And Make The Information Readily Available Upon Request And/Or During Our Annual Events.
A. He Shall Conduct The Transfer Of All Monies Accruing To The Achievers Into The Designated Bank Account.
B. He Must Lodge All Monies Received In The Achievers' Account Within 48 Hours.
C. He Shall Make The Achievers' Funds Available When Requested For The Purpose Generally Agreed By This Constitution, Or Executive And The General House.
D. He Shall Keep Records Of All Monies Disbursed.
A. He Shall Act As The Public Relations Officer Of The Achievers.
B. He Shall Be Responsible For Dissemination Of Approved Official Information Concerning The Affairs Of The Achievers Within And Outside.
C. He Shall Undertake Any Other Duty Assigned By The President.
D. He Shall Be A Media Officer/Group Spokesman And Shall Represent The Group Outside The World And Present The World To The Group.
E. He Shall Be In Contact With Members And Be A Business Advertiser In The Group And For The Group.
F. He Shall Be Courteous, Reliable, Forbearing, And Versatile.
A. He Shall Be The Physiotherapist Of The Group.
B. He Shall Be A Leading Member Of Any Event Planning Committee In The Group And Automatic Member Of Welfare Committee.
C. He Shall Work With The President Within Constitutional Provisions To Ensure All Logistics Matters Of Events Or Occasions Are Duly Taken Care Of.
D. He Shall Be Responsible For All Correspondence From Members In Need Of Welfare Assistance And Shall Be A Contact Point Between The Member And The Group.
These Laws Shall Guide Our Conducts During Meetings And Also Our Conducts In Our Online Forum.
A. Any Member Who Starts A Fight And Then Uses Extreme Abusive Languages To Ridicule And Humiliate A Member Or His Family Both Online Or Offline Shall Attract A Month's Suspension And A Fine Of #2,000 (Two Thousand Naira) Only After The Disciplinary Committee Has Investigated And Confirmed That The Member Indeed Started The Fight And Used The Abusive Languages.
B. Pornographic Posts Of Any Kind Automatically Attracts A One-Month Suspension And A Fine Of #5,000 (Five Thousand Naira) Only.
C. A Repetitive Defaulter Of Article 7a Above Shall Be Suspended For Six (6) Months And Must Pay A Fine Of #5,000 (Five Thousand Naira) Only Before Readmission To The General Body And Online Forum. This Is Subject To Him Paying All Accumulated Dues And Levies.
D. The Association Shall Not Honor Any Invitation From Any Suspended Member And His Entitlement Shall Only Be Given If He Clears His Financial Obligations After Serving His Suspension.
E. Any Member Who Exits The Online Forum—Whatsapp Group—After A Disagreement Shall Pay A Fine Of #5,000 (Five Thousand Naira) Only, Before Readmission. This Excludes Those Who Changed Their Phones Or Have Software Issues.
F. Any Member Who Has Been Absent From Meetings Both Online And Offline For A Long Time, And Is Not Up-To-Date With Monthly Dues And Levies Shall Be Treated As In Article 3.2 Above.
G. Any Member Who Backstabs Another Member By Spreading Wrong And Damaging Information About That Member Shall Be Suspended For 2 Months And Fined #5,000 (Five Thousand Naira) Only.
H. In Event Of General Dialogue Or Jokes, All Members Should Freely And Respectively Contribute Without Intentional Attack Or Insult To Another. A Member Who Noticed An Intentional Insult Or Attack, Shall Raise A Stop Sign As A Way Of Registering Disapproval Of Such Joke And Presumed Attack.
I. In A Case Where Two Members Are Having Verbal Confrontations, The President Shall Call Them To Order. If They Persist After The President's Call To Order, Both Members Shall Be Removed As A Control Measure For Peace In The House. After Investigation By Disciplinary Committee, Only The Confirmed First Offender Shall Be Penalized.
There Shall Be A Five (5) Men Disciplinary Committee Appointed By The President And Ratified By A Vote Or Affirmation Of 2/3 Of The Members Present And Voting In The Meeting, Online Or Offline. The Committee Shall Be Headed By The Vice President. The Committee Shall Investigate And Recommend Penalty For All Violations Of Article 7 By Officials And Members In Line With Constitutional Provisions. The Recommendation Shall Be An Official Report To The President.
There Shall Be A Five (5) Man Appeal Panel Appointed By The President And Ratified By A Vote Or Affirmation Of 2/3 Of The Members Present And Voting In The Meeting, Online Or Offline. The Panel Shall:
A. Hear Cases Of Appeal On Executive's Decisions From Members Who Think They Have Been Unjustly Suspended, Cheated, Or Offended By The Executive.
B. Decide And Make Recommendations To The President If There Is Any Breach Of Protocol Or Constitution In Enforcing The Constitution.
C. The Panel Shall Have Power To Strike Out Any Petition Or Complaint If It's Found To Be Baseless Or Lacks Merit.
A. Any Appointed Panel Member Who Fails To Secure The Number Of Votes Or Overwhelming Acceptance Shall Be Dropped From The Panel And Replaced With Another Person.
B. This Panel Shall Have A Chairman And A Secretary Who Shall Be Elected By The Panel Members.
C. The Duty Of The Panel Is Not To Create Confusion By Opposing The Executive But To Add To Creating Harmony And Solving Any Discord Involving Members And Executive's Decision.
A. Any Appointed Panel Member Who Fails To Secure The Number Of Votes Or Overwhelming Acceptance Shall Be Dropped From The Panel And Replaced With Another Person.
B. This Panel Shall Have A Chairman And A Secretary Who Shall Be Elected By The Panel Members.
C. The Duty Of The Panel Is Not To Create Confusion By Opposing The Executive But To Add To Creating Harmony And Solving Any Discord Involving Members And Executive's Decision.
A. There Shall Be A Three (3) Man Welfare Committee Appointed By The President And Ratified By A Vote Or Affirmation Of 2/3 Of The Members Present And Voting In The Meeting, Online Or Offline. The Committee Shall Be Headed By The Welfare And Logistics Officer. The Committee Shall: A. Set Modalities Towards Attending To Members Welfare And As Well Ensure Strict Measure To Avoid Abuse Of This Provision.
B. Receive Welfare Or Assistance Request From Members, Investigate The Request Within A Limited Time And Offer Recommendations Through Official Report To The President.
C. The President Shall Act On The Committee's Recommendation And Refer Possible Action To The General House.
NOTE:Contribution During A Financial Assistance For A Member Shall Not Be Compulsory And The Amount To Be Given Shall Be Determined By Available Funds.
Membership Of The Achievers Shall Be Open To All Past Students Of Merchants Of Light Special Science School Oba, Who Are Members Of 2002 Graduating Set. New Members Shall Pay Only #500 (Five Hundred Naira) Only As Admittance Fee And Shall Resume Payment Of Dues From The Date They Joined; And They Shall Be Entitled To All Benefits Under The Constitutional Provisions After Six Months Of Active Participation.
A Member Is Deemed A Bona Fide Member If And Only If:
A. He Complies With Article 3.1.
B. He Completes Form 8 (Membership Registration Form).
C. He Is Totally Committed In All Activities And Common Goal Of The Achievers.
D. He Pays All Levies And Fees As Applicable In This Constitution.
E. He Is Up-To-Date With Monthly Dues Of #500 (Five Hundred Naira) Only, Payable Into The Treasury Of The Achievers' Bank Account.
F. Any New Member Shall Be Added And Given A Period Of Grace Of Not More Than 30 Days To Make His Payment As Per Constitution. The Secretary Or Pro Shall Forward A Copy Of Our Constitution To Him Privately And He Shall Confirm Compliance To The Constitution And Make Necessary Payments Before The End Of Grace Period. Noncompliance At The End Of Grace Period Means Automatic Eviction.
G. Members Within The Geographical Proximity Of A Celebrant Shall Volunteer To Attend A Bonafide Members' Occasion. In Cases Where There Is No Volunteer, The President Shall Appoint At Least 5 Persons Within The Geographical Proximity Of The Occasion To Attend. Failure To Attend The Said Occasion Will Attract A Fine Of 5,000 Naira Payable Into The Achievers' Treasury Account, Which Will Then Be Given To The Bonafide Member As Consolation For Not Attending His Event.
All Bonafide Members Shall:
A. Have Unfettered Rights To Participate In All Activities Of The Association.
B. Shall Be Entitled To The Right To Be Voted For And To Vote For Others.
C. Shall Be Entitled To All The Benefits And Entitlements Contained Hereunder, Subject To Eligibility Conditions.
A. The Executive May Invest The Funds Of The Achievers As May Be Directed By The General House From Time To Time.
B. The Disbursements Of All Funds Shall Be Approved By The President.
C. In Event Of Burial Of A Member, 5% Of His Entitlement Shall Be Presented At The Community Table While 95% Shall Be Delivered To The Next Of Kin Or Immediate Family As The Case May Be.
A. If Any Event, Problem, Issues, Proposal, Or Suggestion Raised Is Not Covered Within The Provisions Of This Constitution, The President Shall Immediately Conduct A Vote On The Subject Matter And The Majority Decision Will Be Final.
B. In The Rare Case Where The Votes Are Tied, The President Shall Use His Veto Power To Break The Tie And Swing The Vote To Any Side He Chooses For The Best Interest Of Our Association.
